Welcome to Invigilate Technologies Private Limited (“Invigilate”, “Company”, “we”, “us”,
“our”). These Terms & Conditions (“Terms”) govern your access to and use of our website,
online assessment platforms, remote proctoring tools, services, mobile/web applications,
and
all related systems (collectively, “Services”).
By accessing, registering, or using our Services, you (“User”, “Candidate”,
“Institution”,
“Client”, “you”, “your”) agree to these Terms. If you do not agree, please do not use
our
Services.
1. DEFINITIONS

“Platform” refers to Invigilate’s website, assessment system, dashboards,
mobile/web apps, or any online interface.

“Candidate” means a user appearing for an assessment/exam through
Invigilate.
-
“Client” means the educational institution, corporate, training provider,
or assessment body using Invigilate services.
-
“Assessment” includes online exams, tests, quizzes, skill assessments,
certifications, remote-proctored exams, and related services.
-
“Proctoring Data” means live video/audio, snapshots, screen share,
system logs, behavioural patterns, and AI-proctoring data collected for exam
integrity.
-
“Sensitive Personal Information (SPI)” includes ID proofs, biometrics,
photos, videos, audio, exam data, etc., as defined under Indian IT/DPDP laws.
2. ACCEPTANCE OF TERMS
By using our Services, you:
-
acknowledge that you have read, understood, and agree to be bound by these
Terms;

agree to receive communications (email/SMS/notifications) from Invigilate;
-
consent to processing of your data as per our Privacy Policy;
-
confirm you have the authority to enter into this agreement (for
institutions/corporates);
-
agree to abide by assessment rules, integrity guidelines, and code of conduct.
If you do not agree, you must discontinue use of the Services.
3. ELIGIBILITY
You may use the platform only if:
-
You are at least 18 years old, OR
-
You are under institutional governance with appropriate authorization, OR
-
You are legally competent to use the Services.
Invigilate may require identity verification before granting access.
4. ACCOUNT REGISTRATION & ACCESS
To access assessments or services:
-
You must provide accurate, complete, and verifiable information.
-
You must not impersonate any person or misrepresent your identity.
-
You are responsible for maintaining confidentiality of your account credentials.
-
Any activity under your account will be deemed authorized by you.
-
Sharing login credentials with others is strictly prohibited.
Invigilate may disable, suspend, or terminate accounts for:

Suspicious activity
-
Policy violations
-
Malpractice or fraudulent behaviour
-
Regulatory or institutional request
5. SERVICES PROVIDED BY INVIGILATE
Invigilate provides (not limited to):
-
Online assessments & examinations
-
Remote proctoring (AI + human)
-
Identity verification & authentication
-
Assessment scheduling & reporting
-
Candidate management system
-
Institution/client dashboards
-
Certification, scoring & analytics
-
Technical support for candidates and institutions
Invigilate may add, modify, or discontinue features without prior notice.
6. USER OBLIGATIONS
You agree:
-
to use the platform only for lawful purposes;
-
not to attempt to cheat, hack, bypass, or manipulate assessment systems;
-
not to copy, screen-record, distribute, or misuse exam content;
-
not to upload harmful, false, or misleading information;
-
not to tamper with or disable proctoring tools;
-
to maintain stable internet and compliant hardware/software (as required);
-
to comply with exam instructions, codes, and regulations.
7. REMOTE PROCTORING & DATA CONSENT
By using proctoring-enabled assessments, you expressly consent to:
-
identity verification using photo/video
-
live monitoring by human or AI proctors
-
audio/video recording during exams
-
screen sharing or screen recording
-
device monitoring (as per exam rules)
-
capturing images, eye movement, keystroke patterns, behaviour logs
-
automated decision systems detecting suspicious activity
Violation of proctoring rules may result in:
-
exam termination
-
score cancellation
-
permanent or temporary ban from future assessments
-
reporting misconduct to the institution/client
8. PAYMENT TERMS
When making payments on the platform:
-
You agree to pay all applicable fees, taxes, and charges.
-
Payments are processed via secure third-party payment gateways.
-
Invigilate does NOT store card/UPI credentials.
-
Payment once made may be non-refundable, unless specifically stated in
the Refund & Cancellation Policy.
-
In case of technical payment failures, you must contact support with proof of
transaction.
-
Chargebacks or fraudulent payment disputes may result in suspension of access.

9. CLIENT / INSTITUTION OBLIGATIONS
Institutions/Clients agree to:
-
provide accurate candidate data
-
ensure legality of assessments delivered through Invigilate
-
not misuse platform content, reports, or logs
-
abide by licensing, usage restrictions, and confidentiality clauses
-
not sublicense, resell, or duplicate the platform without written consent
-
ensure compliance with NCVET and regulatory guidelines
10. INTELLECTUAL PROPERTY RIGHTS
All content, system code, interfaces, logos, assessments, proctoring tools, algorithms,
reports, trademarks, and UI/UX elements are the exclusive property of:

Users must not:
-
copy, modify, reverse-engineer, or decompile the platform
-
record platform workflows or exam content
-
distribute or publish copyrighted materials
-
use the system for competing services
Violation may result in legal action.
11. CONFIDENTIALITY
You agree not to disclose:
-
platform workings
-
exam content
-
scoring methods
-
proctoring recordings
-
institution’s proprietary information
-
any internal tools or system processes
Confidentiality obligations survive account/contract termination.
12. DATA PROTECTION & PRIVACY
Personal data is processed in accordance with our Privacy Policy, including:
-
identity data
-
proctoring data
-
exam responses
-
device/system info
-
analytics logs
By using the platform, you consent to such processing.
13. SYSTEM AVAILABILITY & DOWNTIME
Invigilate strives to provide uninterrupted services but does not guarantee:
-
100% uptime
-
error-free systems
-
uninterrupted internet connectivity
-
absence of delay, malfunction, or data loss
Invigilate is not liable for disruptions caused by:
-
internet failure
-
device malfunction
-
third-party service outage
-
power cuts
-
force majeure events
14. PROHIBITED ACTIVITIES
You must NOT:
-
cheat, impersonate, or assist cheating
-
use unauthorized tools, plugins, proxy servers
-
tamper with webcam, mic, or system settings
-
manipulate or disable proctoring
-
access platform source code
-
upload harmful files (malware/viruses)
-
publish confidential exam content
-
claim false affiliation with Invigilate
Violation may result in exam cancellation and legal action.
15. LIMITATION OF LIABILITY
To the maximum extent permitted by law:
-
Invigilate is not liable for any loss of data, loss of profits, device
damage, downtime, failed exams, or consequences arising from candidate
misconduct.

Invigilate is not responsible for institutional decisions regarding
results,
scoring, selection, or certification.
-
Invigilate’s total liability shall not exceed the amount paid for that specific
service.
16. INDEMNITY
You agree to indemnify and hold Invigilate harmless from:
-
claims arising from your misconduct
-
violation of these Terms
-
misuse of platform
-
fraudulent behaviour
-
damage caused to systems or third parties through your actions
Institutions also indemnify Invigilate for all candidate-related violations under their
administration.
17. THIRD-PARTY SERVICES
Invigilate may integrate third-party:
-
payment processors
-
identity verification tools
-
proctoring systems
-
analytics platforms
-
cloud hosting providers
Invigilate is not responsible for third-party failures, breaches, or inaccuracies.
18. TERMINATION OF ACCESS
Invigilate may suspend or terminate access:
-
for violation of Terms
-
for fraudulent or suspicious activity
-
on request of institution or regulatory body
-
for non-payment
-
due to technical threats or security risks
Upon termination:
-
You must stop using the platform immediately.
-
Invigilate may retain data as required by law or audit policies.
19. GOVERNING LAW & JURISDICTION
These Terms are governed by the laws of India.
All disputes shall be subject to the exclusive jurisdiction of the courts in [Insert

20. CHANGES TO TERMS
Invigilate reserves the right to modify or update these Terms at any time.
Changes will be posted on the website with an updated “Last Updated” date.
Continued use of the Services constitutes acceptance of updated Terms.
